These Terms of Service (“Terms”) govern your access to and use of the Freelyns website, applications, and marketplace services (collectively, the “Platform”).
By creating an account or using Freelyns, you agree to be legally bound by these Terms.
For purposes of these Terms:
“Platform” refers to Freelyns website and related services.
“User” means any individual or entity accessing the Platform.
“Freelancer” means a User offering professional services.
“Client” means a User hiring Freelancers.
“Project” means a service engagement between a Freelancer and Client.
“Content” means any text, files, images, code, software, or materials uploaded to the Platform.
“Fees” means commissions, service charges, subscription fees, or any payment due to Freelyns.
Freelyns is a technology marketplace that:
Connects Freelancers and Clients
Facilitates project agreements
Enables payment processing (directly or via third parties)
Freelyns is not:
An employer of Freelancers
An employment agency
A staffing company
A party to contracts between Users
All Projects are independent contracts between Freelancer and Client.
To use Freelyns:
You must be at least 18 years old.
You must have legal capacity to enter binding contracts.
You must comply with applicable local, national, and international laws.
You must not have been previously suspended or banned.
Freelyns reserves the right to verify identity at any time.
Users must provide accurate and complete information.
You are responsible for:
Protecting login credentials
All activities under your account
Maintaining updated information
Freelyns is not liable for unauthorized account access resulting from user negligence.
Freelancers agree to:
Deliver services professionally and on time.
Accurately describe skills and qualifications.
Honor pricing and scope agreed with Clients.
Avoid misrepresentation of experience or credentials.
Freelancers are independent contractors and are solely responsible for:
Taxes
Business registrations
Licenses
Compliance with laws
Freelyns does not guarantee project availability or earnings.
Clients agree to:
Provide clear project requirements.
Pay agreed amounts on time.
Not misuse delivered work.
Not request illegal or unethical services.
Clients are solely responsible for evaluating Freelancer suitability.
All Projects are binding contracts directly between Freelancer and Client.
Freelyns:
Does not guarantee performance.
Does not control project execution.
Is not responsible for deliverable quality.
Users assume full responsibility for project outcomes.
Freelyns may charge:
Commission percentage on Projects
Subscription fees
Listing fees
Featured service fees
Fees may change at any time with notice.
Payments may be processed through third-party gateways.
Freelyns is not liable for:
Payment delays
Gateway errors
Banking failures
Users are solely responsible for:
Income tax
GST / VAT
Local tax compliance
If escrow services are implemented:
Funds may be held until milestone completion.
Release of funds occurs per agreed terms.
Dispute handling may be offered at Freelyns’ discretion.
Freelyns does not guarantee dispute resolution outcomes.
In case of disputes:
Users must attempt resolution directly.
Freelyns may offer mediation but is not obligated.
Freelyns' decision, if provided, may be final regarding platform-level matters.
Freelyns is not liable for losses resulting from user disputes.
Users must NOT:
Post fraudulent listings
Circumvent platform payments
Share harmful or illegal content
Violate intellectual property rights
Harass or abuse other users
Upload malware or malicious code
Violation may result in:
Immediate suspension
Permanent ban
Legal action
Users retain ownership of their content.
By posting, you grant Freelyns a worldwide, non-exclusive, royalty-free license to:
Display
Promote
Market platform listings
Freelyns owns:
Branding
Website design
Source code
Trademarks
Unauthorized use is strictly prohibited.
Users agree to:
Protect confidential information shared during Projects.
Not disclose proprietary business data.
Respect NDAs if executed.
Freelyns is not responsible for confidentiality breaches between Users.
To the maximum extent permitted by law, Freelyns shall not be liable for:
Loss of profits
Business interruption
Data loss
Indirect or consequential damages
Project failure
Total liability shall not exceed the total fees paid to Freelyns in the previous three (3) months.
Users agree to indemnify and hold harmless Freelyns, its officers, directors, and employees from claims arising from:
User misconduct
Violation of these Terms
Breach of third-party rights
Failure to comply with laws
Freelyns may suspend or terminate accounts if:
Terms are violated
Fraud is detected
Required by law
Users may close accounts at any time.
Outstanding payments remain payable after termination.
Use of Freelyns is subject to our Privacy Policy.
By using the platform, you consent to data processing practices described therein.
Freelyns is not liable for failure or delay due to events beyond reasonable control, including:
Natural disasters
Government restrictions
Cyberattacks
Internet outages
These Terms are governed by the laws of India.
All disputes shall be subject to exclusive jurisdiction of competent courts in India.
Freelyns may modify these Terms at any time.
Continued use of the platform constitutes acceptance of updated Terms.
